Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of the She Won’t Forget service (“Service”) operated by Halland Technologies AS, a company registered in Norway (org. nr. NO929468724MVA), based in Agder, Norway (“we”, “us”, “our”).

By creating an account or subscribing to the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

She Won’t Forget is a subscription service that helps you plan and execute meaningful moments for the people in your life. We proactively call you before important dates, help plan gifts, reservations, and experiences, and coordinate execution on your behalf.

The Service is currently available to users in the United States only.

3. Account and eligibility

• You must be at least 18 years old to use the Service.
• You must provide accurate, complete information when creating your account.
• You are responsible for maintaining the security of your account credentials.
• One account per person. We reserve the right to terminate duplicate accounts.

4. Subscription and payment

The Service operates on an annual subscription basis. By subscribing, you authorize us to charge your payment method through our payment processor, Stripe, at the beginning of each billing period.

• Founding Member rate: $79 per year, locked for as long as your subscription remains active.
• Billing: You are billed annually in advance. Subscriptions auto-renew unless cancelled.
• Price lock: Founding Member pricing is guaranteed as long as your subscription remains active. If you cancel and later re-subscribe, the current rate at the time of re-subscription will apply.
• Service delivery: We aim to provide continuous service for the full duration of each billing period. However, delivery of the Service over the entire annual period is provided on a best-effort basis. We may experience interruptions, delays, or changes to service availability, and we do not guarantee uninterrupted operation for the full year following your billing date.

5. Cancellation and refunds

You may cancel your subscription at any time. Upon cancellation:

• You retain access to the Service through the end of your current billing period.
• No partial refunds are issued for unused time within a billing period.
• We may, at our sole discretion, offer refunds in exceptional circumstances.

6. AI calls and communication

By using the Service, you consent to receiving phone calls and text messages from our AI-powered system at the phone number you provided. These calls are part of the core service (planning upcoming dates and moments) and are not marketing calls.

You can stop calls at any time by cancelling your subscription or contacting us.

7. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Provide false or misleading information
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service’s infrastructure
• Resell, redistribute, or commercially exploit the Service without our written consent

8. Intellectual property

All content, branding, software, and materials associated with the Service are owned by Halland Technologies AS or its licensors. You may not copy, modify, or distribute any part of the Service without prior written permission.

9. Limitation of liability

To the maximum extent permitted by applicable law:

• The Service is provided “as is” without warranties of any kind, whether express or implied.
• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
• Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

We do not guarantee the availability, accuracy, or quality of any plans, recommendations, or bookings made through the Service. You are responsible for reviewing and approving all plans before they are executed.

10. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users. In the event of termination for cause, no refund will be issued.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law and disputes

These Terms are governed by the laws of Norway. Any disputes arising from these Terms or the Service shall be resolved by the courts of Agder, Norway, unless mandatory consumer protection rules in your country of residence provide otherwise.
